This privacy notice for Osiris Ratings, Inc. d/b/a Baselayer (“Baselayer,” “we,” or “us”), describes how and why we might collect, store, use, and/or share (“process”) your information when you use our services (“Services”), such as when you:

- Create an account or use the Baselayer platform or API
- Use a Baselayer connector inside an AI assistant or agent platform, such as Anthropic’s Claude or OpenAI’s ChatGPT

This notice also explains how we handle information about the businesses our customers look up, and about the people connected to those businesses, such as officers, owners and registered agents.

Do we process any sensitive personal information?
We do not collect sensitive personal information (such as health, biometric or precise location data) from people who use our Services. Some records in our business data products name individuals in connection with sanctions or watchlists, liens, or court filings. See Section 16.
Do we receive any information from third parties?
Yes. Our business data products are built from public records (such as Secretary of State filings, IRS records, lien filings and court records), government sanctions and watchlists, licensed data partners, and information contributed by our customers. See Section 16.
How do we process your information?
We process your information to provide, improve, and administer our Services, communicate with you, for security and fraud prevention, and to comply with law. We may also process your information for other purposes with your consent. We process your information only when we have a valid legal reason to do so. Do we share information with AI assistants?
Only if you connect Baselayer to one. When you do, the results of your requests are sent to that platform and become part of your conversation there. See Section 3.

We have organizational and technical processes and procedures in place to protect your personal information. However, no electronic transmission over the internet or information storage technology can be guaranteed to be 100% secure, so we cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat our security and improperly collect, access, steal, or modify your information. Personal information you disclose to us
In Short: We collect personal information that you provide to us.
We collect personal information that you voluntarily provide to us when you register on the Services, express an interest in obtaining information about us or our products and Services, when you participate in activities on the Services, or otherwise when you contact us.
Personal Information Provided by You. The personal information that we collect depends on the context of your interactions with us and the Services, the choices you make, and the products and features you use. The personal information we collect may include the following:
- Names
- Phone numbers
- Email addresses
- Job titles
- Company names
- Usernames and passwords
- Billing contact and address (card payments are processed by Stripe; we do not store full card numbers)
Sensitive Information: We do not collect sensitive information from people who use our Services. For information about individuals that appears in our business data products, see Section 16.
Information you submit through the Services. The businesses you search for and the details you enter or upload in order to run a search. Our Services Agreement calls this “Customer Data”.
Information from AI assistant platforms. If you connect Baselayer to an AI assistant or agent platform (such as Anthropic’s Claude or OpenAI’s ChatGPT), that platform sends us an identifier for your connected account and the requests the assistant makes to Baselayer on your behalf. We receive only what is needed to run those requests. We do not receive the rest of your conversation, your files, or your chat history.
Social Media Login Data. We may provide you with the option to register with us using your existing social media account details, like your Facebook, Twitter, or other social media account. If you choose to register in this way, we will collect the information described in the section called “HOW DO WE HANDLE YOUR SOCIAL LOGINS?” below.
All personal information that you provide to us must be true, complete, and accurate, and you must notify us of any changes to such personal information.
Information automatically collected
When you visit our website or use the Services, we automatically collect technical and usage information. This includes your IP address, browser and device type, operating system, the pages you visit, the searches you run, the features and tools you use, and the date and time. It does not reveal your specific identity on its own, but it may be linked to your account. Some of this information is collected through cookies and similar technologies (see Section 4). We use it to keep the Services secure and working, and for our internal analytics and reporting.

We process your personal information for a variety of reasons, depending on how you interact with our Services, including:
To facilitate account creation and authentication and otherwise manage user accounts. We may process your information so you can create and log in to your account, as well as keep your account in working order.
To deliver and facilitate delivery of services to the user. We may process your information to provide you with the requested service.
To bill you. We process billing information to charge for the Services and manage your subscription.
To send administrative information to you. We may process your information to send you details about our products and services, changes to our terms and policies, and other similar information.
To protect our Services. We may process your information as part of our efforts to keep our Services safe and secure, including fraud monitoring and prevention.
To evaluate and improve our Services, products, marketing, and your experience. We may process your information when we believe it is necessary to identify usage trends, determine the effectiveness of our promotional campaigns, and to evaluate and improve our Services, products, marketing, and your experience.
To identify usage trends. We may process information about how you use our Services to better understand how they are being used so we can improve them.
To comply with our legal obligations. We may process your information to comply with our legal obligations, respond to legal requests, and exercise, establish, or defend our legal rights.

We may need to share your personal information in the following situations:
Service providers. We share information with vendors who help us run the Services, such as cloud hosting, payment processing, analytics, email delivery and customer support tools. They may use it only to provide their service to us, under a written contract.
AI assistant platforms you connect. If you connect Baselayer to an AI assistant or agent platform, we send the results of your requests to that platform. Those results become part of your conversation on the platform, which stores and handles them under its own privacy policy and terms. We do not give any platform permission to use Baselayer data to train its AI models. You can disconnect Baselayer at any time in the platform’s settings; disconnecting stops new requests but does not remove results already in your conversation history.
Legal requirements and safety. We may disclose information where required by law, subpoena or court order, or where we believe it is necessary to protect the rights, safety or property of Baselayer, our customers or others.
Professional advisers. We may share information with our lawyers, auditors, insurers and similar advisers, who are bound by duties of confidentiality.
Business Transfers. We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.
In Short: We may use cookies, pixel tags, or other tracking technologies to collect and store your information. We use the information we collect about you for advertising purposes, such as developing and providing promotional and advertising materials that may be relevant, valuable, or otherwise of interest to you. We use cookies and similar technologies to keep you signed in, remember your settings, understand how the website and Services are used, and keep them secure. You can control cookies through your browser settings.
In Short: If you choose to register or log in to our Services using a social media account, we may have access to certain information about you.
Our Services offer you the ability to register and log in using your third-party account details (e.g. Google Workspace). Where you choose to do this, we will receive certain profile information about you from your third-party provider.
We will use the information we receive only for the purposes that are described in this privacy notice or that are otherwise made clear to you on the relevant Services. Please note that we do not control, and are not responsible for, other uses of your personal information by your third-party social media provider. In Short: We keep your information for as long as necessary to fulfill the purposes outlined in this privacy notice unless otherwise required by law.
We will only keep your personal information for as long as it is necessary for the purposes set out in this privacy notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements).
When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.
In Short: We aim to protect your personal information through a system of organizational and technical security measures.
We have implemented appropriate and reasonable technical and organizational security measures designed to protect the security of any personal information we process, including encryption in transit and at rest, access controls, logging and regular security reviews. However, despite our safeguards and efforts to secure your information, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure, so we cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat our security and improperly collect, access, steal, or modify your information. Although we will do our best to protect your personal information, transmission of personal information to and from our Services is at your own risk. You should only access the Services within a secure environment. If you believe you have found a security vulnerability in our Services, please report it to support@baselayer.com. We investigate every report.
In Short: We do not knowingly collect data from or market to children under 18 years of age.
We do not knowingly solicit data from or market to children under 18 years of age. By using the Services, you represent that you are at least 18 and are using the Services on behalf of a business. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such data from our records. If you are located in the EEA or UK and you believe we are unlawfully processing your personal information, you also have the right to complain to your Member State data protection authority or UK data protection authority.
If you are located in Switzerland, you may contact the Federal Data Protection and Information Commissioner.
Withdrawing your consent: If we are relying on your consent to process your personal information, which may be express and/or implied consent depending on the applicable law, you have the right to withdraw your consent at any time. You can withdraw your consent at any time by contacting us by using the contact details provided in the section “HOW CAN YOU CONTACT US ABOUT THIS NOTICE?” below.
However, please note that this will not affect the lawfulness of the processing before its withdrawal nor, when applicable law allows, will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.
Account Information
If you would at any time like to review or change the information in your account or terminate your account, you can contact us using the contact information provided.
Upon your request to terminate your account, we will deactivate or delete your account and information from our active databases. However, we may retain some information in our files to prevent fraud, troubleshoot problems, assist with any investigations, enforce our legal terms and/or comply with applicable legal requirements.
Cookies and similar technologies: Most Web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove cookies and to reject cookies. If you choose to remove cookies or reject cookies, this could affect certain features or services of our Services. You may also opt out of interest-based advertising by advertisers on our Services.

Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track (“DNT”) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this privacy notice.
In Short: Yes, if you are a resident of California, you are granted specific rights regarding access to your personal information.
California Civil Code Section 1798.83, also known as the “Shine The Light” law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. If you are a California resident and would like to make such a request, please submit your request in writing to us using the contact information provided below.
If you are under 18 years of age, reside in California, and have a registered account with Services, you have the right to request removal of unwanted data that you publicly post on the Services. To request removal of such data, please contact us using the contact information provided below and include the email address associated with your account and a statement that you reside in California. We will make sure the data is not publicly displayed on the Services, but please be aware that the data may not be completely or comprehensively removed from all our systems (e.g., backups, etc.).
CCPA Privacy Notice
The California Code of Regulations defines a “resident” as:
(1) every individual who is in the State of California for other than a temporary or transitory purpose and
(2) every individual who is domiciled in the State of California who is outside the State of California for a temporary or transitory purpose
All other individuals are defined as “non-residents.”
If this definition of “resident” applies to you, we must adhere to certain rights and obligations regarding your personal information.

If you are using an authorized agent to exercise your right to opt out we may deny a request if the authorized agent does not submit proof that they have been validly authorized to act on your behalf.
Will your information be shared with anyone else?
We may disclose your personal information with our service providers pursuant to a written contract between us and each service provider. Each service provider is a for-profit entity that processes the information on our behalf, following the same strict privacy protection obligations mandated by the CCPA.
We may use your personal information for our own business purposes, such as for undertaking internal research for technological development and demonstration. This is not considered to be “selling” of your personal information.
In the preceding twelve (12) months, we have disclosed personal information to our service providers for business purposes, and we have provided information about businesses and the people connected to them (see Section 16) to our customers. We do not sell or share personal information about website visitors or account holders, and we do not share personal information for cross-context behavioral advertising.
We do not sell or share personal information as the CCPA defines those terms. The information about individuals in our business data products is publicly available information from government records and other lawful public sources, which the CCPA excludes from the definition of personal information.
Your rights with respect to your personal data
Right to request deletion of the data: Request to delete
You can ask for the deletion of your personal information. If you ask us to delete your personal information, we will respect your request and delete your personal information, subject to certain exceptions provided by law, such as (but not limited to) the exercise by another consumer of his or her right to free speech, our compliance requirements resulting from a legal obligation, or any processing that may be required to protect against illegal activities.
Right to be informed: Request to know
Depending on the circumstances, you have a right to know:
- whether we collect and use your personal information;
- the categories of personal information that we collect;
- the purposes for which the collected personal information is used;
- whether we sell or share personal information to third parties;
- the categories of personal information that we sold, shared, or disclosed for a business purpose;
- the categories of third parties to whom the personal information was sold, shared, or disclosed for a business purpose;
- the business or commercial purpose for collecting, selling, or sharing personal information; and
- the specific pieces of personal information we collected about you.
In accordance with applicable law, we are not obligated to provide or delete consumer information that is de-identified in response to a consumer request or to re-identify individual data to verify a consumer request.
Right to Non-Discrimination for the Exercise of a Consumer’s Privacy Rights
We will not discriminate against you if you exercise your privacy rights.
Right to Limit Use and Disclosure of Sensitive Personal Information
We do not collect sensitive personal information from people who use our Services. For sensitive categories that may appear in public records within our business data products, see Section 16.
Verification process
Upon receiving your request, we will need to verify your identity to determine you are the same person about whom we have the information in our system. These verification efforts require us to ask you to provide information so that we can match it with information you have previously provided us. For instance, depending on the type of request you submit, we may ask you to provide certain information so that we can match the information you provide with the information we already have on file, or we may contact you through a communication method (e.g., phone or email) that you have previously provided to us. We may also use other verification methods as the circumstances dictate.
We will only use personal information provided in your request to verify your identity or authority to make the request. To the extent possible, we will avoid requesting additional information from you for the purposes of verification. However, if we cannot verify your identity from the information already maintained by us, we may request that you provide additional information for the purposes of verifying your identity and for security or fraud-prevention purposes. We will delete such additionally provided information as soon as we finish verifying you.
Other privacy rights
- You may object to the processing of your personal information.
- You may request correction of your personal data if it is incorrect or no longer relevant, or ask to restrict the processing of the information.
- You can designate an authorized agent to make a request under the CCPA on your behalf. We may deny a request from an authorized agent that does not submit proof that they have been validly authorized to act on your behalf in accordance with the CCPA.
- You may request to opt out from future selling or sharing of your personal information to third parties. Upon receiving an opt-out request, we will act upon the request as soon as feasibly possible, but no later than fifteen (15) days from the date of the request submission.

Virginia CDPA Privacy Notice
Under the Virginia Consumer Data Protection Act (CDPA):
“Consumer” means a natural person who is a resident of the Commonwealth acting only in an individual or household context. It does not include a natural person acting in a commercial or employment context.
“Personal data” means any information that is linked or reasonably linkable to an identified or identifiable natural person. “Personal data” does not include de-identified data or publicly available information.
“Sale of personal data” means the exchange of personal data for monetary consideration.
If this definition “consumer” applies to you, we must adhere to certain rights and obligations regarding your personal data.

If you are using an authorized agent to exercise your rights, we may deny a request if the authorized agent does not submit proof that they have been validly authorized to act on your behalf.
Verification process
We may request that you provide additional information reasonably necessary to verify you and your consumer’s request. If you submit the request through an authorized agent, we may need to collect additional information to verify your identity before processing your request.
Upon receiving your request, we will respond without undue delay, but in all cases, within forty-five (45) days of receipt. The response period may be extended once by forty-five (45) additional days when reasonably necessary. We will inform you of any such extension within the initial 45-day response period, together with the reason for the extension.
Right to appeal
If we decline to take action regarding your request, we will inform you of our decision and reasoning behind it. If you wish to appeal our decision, please email us at support@baselayer.com. Within sixty (60) days of receipt of an appeal, we will inform you in writing of any action taken or not taken in response to the appeal, including a written explanation of the reasons for the decisions. If your appeal is denied, you may contact the Attorney General to submit a complaint.
In Short: Yes, we will update this notice as necessary to stay compliant with relevant laws.
We may update this privacy notice from time to time. The updated version will be indicated by an updated “Revised” date and the updated version will be effective as soon as it is accessible. Based on the applicable laws of your country, you may have the right to request access to the personal information we collect from you, change that information, or delete it. To request to review, update, or delete your personal information, please fill out and submit a data subject access request.
In Short: Our products contain information about U.S. businesses, and some of that information is about people connected to those businesses.
Baselayer helps our customers confirm that a business is real, active and correctly identified, and assess the risk of doing business with it. To do that, we hold information about businesses, and some of it is about the people connected to them. If you are an officer, owner, member, registered agent or employee of a U.S. business, you may appear in our data even though you have never used Baselayer.
What we hold about you
- Your name and your role or title at a business.
- Business contact details, such as the business address you are listed at in public filings.
- Records that name you in connection with a business, such as state registration filings, lien (UCC) filings, court and bankruptcy records, and sanctions or watchlist entries.
- Whether you are associated with, or employed by, a particular business.
- Publicly available information about the business’s online presence.
Where it comes from
- Public records, which we collect directly from the source: business registration filings from the Secretary of State (or equivalent office) in every U.S. state, IRS records used to verify tax identification numbers, UCC lien filings, and state and federal court records.
- Government sanctions and watchlists, such as those published by OFAC.
- Licensed data partners that supply business and related records to us under contract.
- Information our customers contribute to Baselayer’s fraud consortium and identity network, which we use to detect fraud patterns across the network.
- Publicly available online sources, such as a business’s own website and public business listings.
Why we hold it
We hold this information so that our customers can verify and assess businesses. We do not use this information for advertising.
Who we share it with
- Our customers. These are businesses, mostly banks, lenders, payment companies and other financial institutions, and also companies checking their suppliers and business partners. Our customers agree in writing to use the information only for their own internal business purposes, not to resell it, and not to use it for consumer purposes covered by the Fair Credit Reporting Act (see below).
- AI assistant platforms, when a customer runs a Baselayer lookup through one (see Section 3). The platform receives the results the customer asked for and handles them under its own policies.
We are not a consumer reporting agency
Our customers use Baselayer to make commercial decisions about businesses: whether to onboard a business, do business with it, or extend it credit. That includes businesses run by one person, such as sole proprietorships. Baselayer is not a consumer reporting agency under the Fair Credit Reporting Act (FCRA), and the information we provide is not a consumer report. Our customers are not permitted to use our information for purposes the FCRA covers: to decide whether you personally are eligible for credit or insurance for personal, family or household use, for employment, or for housing. If you believe a Baselayer customer has used our information to make that kind of decision about you, please tell us at support@baselayer.com.
How long we keep it
We refresh business records regularly from their sources and keep them for as long as they are useful for verifying and assessing the business. Information we must keep by law, or need to keep to resolve a dispute or prevent fraud, is kept for as long as needed for that purpose.
